- Financial Information: Bank account details, SWIFT/BIC codes, payment service provider details (e.g., PayPal email), tax identification numbers, and invoicing information required for payment processing.

- Work-Related & Communications Data: Submitted project proposals, bids, work samples, project deliverables, messages exchanged with clients or Company administrators through the Portal, feedback, ratings, and dispute records.
2. How We Use Your Information

- To create, administer, manage, and secure your freelancer account on our Portal.
- To evaluate your skills, qualifications, and suitability for projects and to match you with potential client opportunities.

Terms and Conditions for Freelancers
By accessing, registering for, or using the freelancer portal ("Portal") operated by Crescere Luna Digital Pte Ltd ("Company," "we," "us"), you agree to be bound by these Terms and Conditions ("Terms"), our Privacy Policy, and all applicable laws and regulations. If you do not agree with any part of these Terms, you must not use the Portal.
1. Acceptance of Terms
By accessing, registering for, or using the freelancer portal ("Portal") operated by Crescere Luna Digital Pte Ltd ("Company," "we," "us"), you agree to be bound by these Terms and Conditions ("Terms"), our Privacy Policy, and all applicable laws and regulations. If you do not agree with any part of these Terms, you must not use the Portal.
2. Eligibility & Account Registration
- You must be at least 18 years old and have the legal capacity to enter into contracts.
- You warrant that all information provided during registration and in your profile is accurate, complete, and current.
- You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must notify us immediately of any unauthorized use.
3. Nature of Relationship
- You are an independent contractor, not an employee, agent, or partner of Crescere Luna Digital Pte Ltd.
- You are solely responsible for determining how to perform the services for clients. You are responsible for your own taxes, insurance, and legal compliance.
- The Company acts as a platform facilitator to connect you with clients. The contractual relationship for services is directly between you and the client.
4. Freelancer Responsibilities
You agree to:
- Perform work for clients with professionalism, skill, care, and diligence, in accordance with agreed-upon project terms ("Client Contracts").
- Not misrepresent your skills, experience, or qualifications.
- Respect client confidentiality and intellectual property rights as stipulated in individual Client Contracts.
- Adhere to all deadlines and communicate proactively with clients and the Company.
- Comply with all applicable laws, including but not limited to tax, data protection, and export control laws.
- Not engage in any fraudulent, misleading, unethical, or illegal activity on the Portal.
5. Proposal & Project Terms
- Project terms, including scope, deliverables, timeline, and fees, are negotiated and agreed upon directly between you and the client, forming a binding Client Contract.
- The Company is not a party to the Client Contract unless expressly stated otherwise. The Company is not liable for any breach of a Client Contract by either party.
6. Fees, Payment & Service Charge
- You will set your own fees or rates for projects. All financial terms must be clearly defined in the Client Contract.
- The Company may charge a service fee or commission (a percentage of the project fee or a fixed amount) for the use of the Portal and its services. The current fee structure will be disclosed on the Portal or in a separate agreement with you.
- Payments from clients may be processed through the Company's designated payment system. You authorize the Company to deduct its service fee and any applicable taxes (where required by law) before disbursing the net earnings to you.
- You are solely responsible for invoicing clients (where applicable) and for all taxes associated with your earnings.
7. Intellectual Property
- You retain ownership of your pre-existing intellectual property ("Background IP").
- Ownership of work product created specifically for a client ("Foreground IP") will be governed by the terms of the individual Client Contract. Typically, upon full payment, Foreground IP is assigned to the client.
- You grant Crescere Luna Digital Pte Ltd a non-exclusive, worldwide, royalty-free license to use your profile information, portfolio items, and public work samples to promote and operate the Portal.
8. Confidentiality
You agree to keep confidential all non-public information about the Company, its clients, and other freelancers that you obtain through the Portal, except as required to perform your services or as required by law.
9. Disclaimers & Limitation of Liability
- THE PORTAL IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED.
- We do not guarantee a constant supply of work, specific income levels, or the reliability of clients.
- To the maximum extent permitted by law, Crescere Luna Digital Pte Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising from your use of the Portal or dealings with clients.
- Our total liability to you for any claim shall not exceed the total service fees we have collected from you in the six (6) months preceding the event giving rise to the claim.
10. Termination
- You may deactivate your account at any time.
- We may suspend or terminate your account and access to the Portal immediately, without notice, for any breach of these Terms or for any conduct we deem harmful to the Portal, other users, or the Company.
- Upon termination, your right to use the Portal ceases immediately, but provisions regarding payment, intellectual property, confidentiality, liability, and dispute resolution will survive.
11. Dispute Resolution & Governing Law
- These Terms shall be governed by and construed in accordance with the laws of Singapore.
- Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration in Singapore in accordance with the Arbitration Rules of the Singapore International Arbitration Centre ("SIAC") for the time being in force, which rules are deemed to be incorporated by reference in this clause. The tribunal shall consist of one (1) arbitrator. The language of the arbitration shall be English.
12. General Provisions
- Modifications: We reserve the right to modify these Terms at any time. Continued use of the Portal after changes constitutes acceptance.
- Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Crescere Luna Digital Pte Ltd regarding the Portal.
- Severability: If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in full force and effect.
